HIPAA, PRIVACY, SECURITY, AND BUSINESS ASSOCIATE ADDENDUM

This Addendum supplements the Agreement and applies whenever Contractor creates, receives, maintains, or transmits Protected Health Information (PHI) on behalf of Readi Collect or a client in circumstances subject to HIPAA. “PHI,” “electronic PHI” or “ePHI,” “breach,” and “security incident” have the meanings assigned by applicable law. The parties shall comply with HIPAA requirements applicable to their respective roles. The parties shall document whether Contractor acts as a business associate or subcontractor of a business associate for the relevant services. This Addendum does not replace a separate BAA required between Readi Collect and a client. Company shall be the Covered Entity, and Contractor the Business Associate, as those terms are defined under the Health Insurance Portability and Accountability Act of 1996, as amended, including the HITECH Act and implementing regulations (collectively, “HIPAA”).

1. Permitted uses and disclosures

Contractor may use or disclose PHI only as necessary to perform authorized services, as expressly permitted by this Addendum, or as required by law. Contractor shall not sell PHI or use it for personal purposes, marketing, or any unauthorized purpose; disclose it to unauthorized persons; or use or disclose it in a manner prohibited by applicable law. Contractor shall limit use, disclosure, and access to what is necessary, subject to applicable HIPAA requirements and exceptions.

2. Safeguards

Contractor shall implement appropriate administrative, physical, and technical safeguards and comply with applicable HIPAA Security Rule requirements for ePHI. Contractor shall:

·         Access PHI only through authorized systems, applications, accounts, and devices, and protect credentials with appropriate access controls.

·         Use appropriate device security and encryption where required or appropriate.

·         Transmit forms, test results, photographs, collection records, and other PHI only through Company-approved secure methods.

·         Not store PHI in personal email, unauthorized cloud storage, unapproved messaging applications, or other unauthorized locations.

·         Not photograph, copy, download, or retain PHI except as authorized and necessary for services or required by law.

3. Incident reporting and cooperation

Contractor shall notify Readi Collect of any suspected or confirmed impermissible use or disclosure of PHI, breach of unsecured PHI, or security incident without unreasonable delay and no later than 24 hours after discovery. Contractor shall provide known relevant facts, preserve relevant evidence, cooperate in investigation and mitigation, and assist Readi Collect and affected clients with applicable documentation and notification obligations. Contractor shall not notify affected individuals, regulators, or media on Readi Collect’s behalf unless authorized or required by law.

4. Personnel and subcontractors

Contractor shall ensure that employees, approved agents, and subcontractors authorized to access PHI are subject to appropriate confidentiality, privacy, security, and training requirements. Before allowing a subcontractor to create, receive, maintain, or transmit PHI on Readi Collect’s behalf in circumstances subject to HIPAA, Contractor shall enter into a written agreement imposing the applicable restrictions, conditions, and safeguards required by HIPAA. Contractor remains responsible for its obligations and for personnel/subcontractor acts and omissions to the extent provided by applicable law and contract.

5. Individual rights and regulatory access

Contractor shall make PHI available to Company as reasonably necessary to fulfill Company's obligations regarding individual access, amendment, and accounting of disclosures under 45 C.F.R. §§ 164.524, 164.526, and 164.528. Contractor shall complete amendments directed by Company within fifteen (15) business days, provide requested accounting information within ten (10) business days, and forward individual requests for access, amendment, or accounting to Company within ten (10) business days. Company shall retain responsibility for determining and responding to individual requests.

6. Return, destruction, and retention

Upon termination of the Agreement or as otherwise requested by Company, Contractor shall return or securely destroy PHI received, created, maintained, or held on behalf of Readi Collect or its client, where feasible, and shall not retain copies except as permitted or required by law. If return or destruction is infeasible or retention is legally required, Contractor shall continue to protect the PHI and limit use and disclosure to the purposes permitting retention.

7. Suspension, termination, mitigation, and survival

Readi Collect may immediately suspend Contractor’s access to systems, assignments, or PHI when reasonably necessary to address a suspected privacy or security risk. Readi Collect may terminate the Agreement for a material violation of this Addendum, subject to applicable law and required process. The parties shall cooperate to mitigate harmful effects of a violation and protect affected PHI. Privacy, security, confidentiality, and PHI-retention duties survive termination for as long as Contractor retains PHI or applicable law requires. This Addendum controls over conflicting Agreement provisions concerning PHI, privacy, or security.
